Welcome to TechService.ng (the "Site"). These Terms of Service ("Terms") govern your use of the Site and the services offered by TechService.ng ("we," "us," or "our").

By accessing or using the Site or any of our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Site or our services.

1. Acceptance of Terms

By using our Site and services, you affirm that you are of legal age to enter into these Terms, or, if you are not, that you have obtained parental or guardian consent to enter into these Terms. These Terms constitute the entire agreement between you and TechService.ng regarding the use of the Site and our services.

2. Description of Services

TechService.ng provides custom software development, IT consulting, web design, cloud migration, and related technology services primarily targeted at the Nigerian market. The exact scope and specifications of any commissioned work will be detailed in a separate, written **Service Agreement** or **Statement of Work (SOW)** executed between you and us.

3. User Obligations and Conduct

• Accurate Information: You agree to provide accurate, current, and complete information when filling out forms or entering into service agreements.
• Lawful Use: You agree not to use the Site for any purpose that is unlawful or prohibited by these Terms, or to solicit the performance of any illegal activity.
• Non-Interference: You must not attempt to interfere with the proper working of the Site or attempt to gain unauthorized access to any part of the Site or our systems.

4. Fees and Payment Terms

Fees for our services are specified in the individual Service Agreement or SOW. Unless otherwise agreed upon in writing:

• Payment Currency: All payments must be made in the currency specified in the SOW (typically Nigerian Naira or U.S. Dollars).
• Invoicing: Invoices will be issued according to the payment schedule agreed upon in the SOW.
• Late Payments: TechService.ng reserves the right to suspend or terminate services for failure to remit payment within the specified timeframe.

5. Intellectual Property Rights

• Our IP: All content on the Site, including text, graphics, logos, and software, is the property of TechService.ng or its licensors and is protected by copyright and other intellectual property laws.
• Client IP: Unless otherwise explicitly stated in the SOW, upon final payment, **full ownership and intellectual property rights** for the custom software or product developed specifically for the client shall transfer to the client. We retain the right to use general know-how and non-identifiable architectural patterns.

6. Limitation of Liability

To the maximum extent permitted by applicable law, TechService.ng shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from: (i) your access to or use of or inability to access or use the Site; (ii) any conduct or content of any third party on the Site; or (iii) unauthorized access, use, or alteration of your transmissions or content.

In no event shall the aggregate liability of TechService.ng exceed the amount paid by you to TechService.ng for the services under which the liability arose in the twelve (12) months preceding the claim.

7. Termination

We may suspend or terminate your access to the Site or services immediately, without prior notice or liability, if you breach these Terms. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the **Federal Republic of Nigeria**, without regard to its conflict of law provisions.
